Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using SeoSync, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and TechSynergy Corp.

You must be at least 18 years of age to use SeoSync. If you are under 18, you may only use the Service with the involvement and consent of a parent or legal guardian.

2. Description of Service

SeoSync is a comprehensive SEO analysis platform that provides:

• SEO audits of websites and web pages
• Keyword ranking tracking and analysis
• Competitor analysis and monitoring
• Technical SEO recommendations
• Performance metrics and reporting
• AI-powered insights and recommendations (on paid plans)

We offer a Free plan with limited features, as well as paid subscription plans (Pro and Enterprise) with additional capabilities and higher usage limits.

3. Account Registration

To access certain features of SeoSync, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the security of your account credentials and accept all responsibility for activities that occur under your account
• Immediately notify us of any unauthorized use of your account or any other security breach
• Not share your account credentials with any third party

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

4. Subscription and Billing

SeoSync offers the following subscription plans:

• Free Plan: Limited features at no cost
• Pro Plan: $49 CAD per month, billed monthly
• Enterprise Plan: $199 CAD per month, billed monthly

By subscribing to a paid plan, you agree to the following:

• Payment is processed securely through Stripe, our third-party payment processor
• Subscriptions are billed monthly on a recurring basis until canceled
• You authorize us to charge your designated payment method automatically each billing cycle
• All fees are in Canadian Dollars (CAD) and are non-refundable except as required by law
• We reserve the right to change our pricing with at least 30 days' notice
• You may cancel your subscription at any time through your account settings
• Cancellations take effect at the end of the current billing period
• If your payment fails, we may suspend or terminate your access to paid features

5. Acceptable Use

You agree to use SeoSync only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable local, provincial, national, or international law or regulation
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any systems or networks connected to the Service
• Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission
• Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or harmful material
• Use the Service to transmit or distribute spam, chain letters, or other unsolicited communications
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Resell, redistribute, or sublicense access to the Service without our written consent
• Use the Service to monitor the availability, performance, or functionality of any competitor or for any other competitive intelligence purposes

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by TechSynergy Corp. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, logos, and service marks ("Marks") may not be used without our prior written consent. All other trademarks, logos, and service marks appearing on the Service are the property of their respective owners.

You retain ownership of any content you submit to the Service, but you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process such content solely for the purpose of providing and improving the Service.

7. Website Auditing

SeoSync allows you to audit websites and web pages for SEO analysis. By submitting a website or URL for auditing, you represent and warrant that:

• You own the website or have explicit authorization from the website owner to audit it
• The website does not violate any third-party rights or applicable laws
• You will not use the auditing feature to crawl websites in a manner that causes harm or disruption

We reserve the right to refuse to audit any website and to remove audit results at our discretion, including if we believe the audit violates these Terms or any applicable law.

8. Disclaimer of Warranties

SeoSync is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the Service, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• That the Service will be uninterrupted, timely, secure, or error-free
• That the results obtained from the use of the Service will be accurate, reliable, or complete
• That any errors in the Service will be corrected

SeoSync provides SEO recommendations and insights, but we do not guarantee any specific search engine rankings or results. Search engine algorithms are complex and constantly changing, and many factors beyond our control affect search rankings.

Your use of the Service is at your sole risk. We do not warrant that the Service will meet your requirements or that it will be suitable for your particular purpose.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall TechSynergy Corp., its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, revenue, data, or use
• Loss of business opportunities
• Loss of goodwill or reputation
• Cost of procurement of substitute goods or services

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law. In no event shall our total liability to you for all damages exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

You may terminate your account at any time by contacting us at support@seosync.ca or through your account settings. Upon termination, your right to access and use the Service will immediately cease.

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of inactivity

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide notice by:

• Posting the updated Terms on this page
• Updating the "Last updated" date at the top of this page
• Sending an email notification to the address associated with your account (for significant changes)

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.
